Important Things to Know (please read)
We want this Managed Hardware Services Schedule to work for both of us. If there is something you would like to change before placing an Order, we are happy to consider reasonable amendments, just let us know.
This Managed Hardware Services Schedule forms part of your Agreement with Boab IT Pty Ltd and must be read together with our Terms of Service and your Order. This Managed Hardware Services Schedule applies only where your Order expressly includes managed hardware.
What we supply is defined by your Order. Our obligations only extend to the hardware items and services expressly listed there. If it is not in your Order, it is not covered.
We will only provide managed laptops, tablets or workstations where your Order includes a subscription to one of our desktop management plans.
If your desktop management plan expires or is terminated for any reason, we may also terminate the managed hardware and related services supplied to you under this Managed Hardware Services Schedule. You must then return the managed hardware and complete offboarding in accordance with this Managed Hardware Services Schedule.
Hardware supplied under this Managed Hardware Services Schedule remains our property unless your Order expressly provides for transfer of ownership. You are acquiring the right to use the hardware during the Term of the relevant Agreement, not ownership of it.
Managed hardware may be billed directly by us or through our finance provider as set out in your Order. If billed through a finance provider, you will make payments to that provider, who will collect the services component on our behalf and remit it to us.
1. About this Service Schedule
1.1. This Managed Hardware Services Schedule (Services Schedule) applies to any Order under which we agree to supply managed hardware and related services to you.
1.2. This Services Schedule forms part of an Agreement and must be read together with the Terms of Service and the Order.
1.3. If there is any inconsistency between this Services Schedule, the Order and the Terms of Service, the Terms of Service prevail, then the Order, then this Services Schedule, to the extent of the inconsistency.
1.4. In this Services Schedule, some words are defined in bold and brackets. Definitions in the Terms of Service also apply to this Services Schedule.
2. Overview of managed hardware and related services
2.1. If managed hardware is included in your Order, we will procure, configure, deliver and manage the hardware items described in the Order (managed hardware) and provide the related services set out in this Services Schedule during the term of the relevant Agreement. However, we will only provide managed laptops, tablets or workstations where your Order includes a subscription to one of our desktop management plans. If your desktop management plan expires or is terminated for any reason, we may also terminate the managed hardware and related services supplied to you under this Services Schedule. You must then return those managed laptops, tablets or workstations and complete offboarding in accordance with clauses 10 and 14 of this Services Schedule.
2.2. The specific managed hardware items supplied, and the services provided in respect of them, depend on the managed hardware plan set out in your Order.
2.3. Unless your Order expressly provides otherwise, all managed hardware supplied under this Services Schedule remains our property. You are granted a right to use the managed hardware for your business purposes during the Term of the relevant Agreement only. Ownership does not pass to you.
3. Hardware supply and procurement
3.1. Procurement
(a) We will procure managed hardware from suppliers we select at our discretion.
(b) The managed hardware may be new, refurbished or repaired hardware, provided it is in good working order and suitable for the managed hardware services. If the managed hardware is found to be defective during the term, we will arrange for its repair or replacement in accordance with this Services Schedule.
(c) Managed hardware pricing is as set out in your Order.
3.2. Configuration
(a) We will configure each item of managed hardware in accordance with our standard technical specifications.
3.3. Delivery
(a) We will arrange delivery of managed hardware to the address specified in your Order. Risk of loss or damage passes to you on delivery.
(b) Delivery timeframes are estimates only. We are not liable for delays caused by suppliers, carriers, customs processes or circumstances outside our reasonable control.
(c) You must inspect managed hardware promptly upon delivery and notify us in writing within 5 business days of any damage, missing parts or discrepancy with your Order. If you do not notify us within that period, the managed hardware will be deemed received in good order.
4. Ongoing managed hardware services
4.1. Ongoing monitoring and management
(a) We will, during the term of the relevant Agreement, use reasonable endeavours to monitor and manage the health, security compliance and, where applicable, performance of managed hardware that is capable of being monitored through our remote monitoring and management platform. The scope of monitoring and management will depend on the type of managed hardware and the functionality available for that managed hardware. For example, laptops, workstations, firewalls and switches may be actively monitored and managed, while peripherals and other hardware such as monitors, keyboards, mice, modems and printers may only be tracked, supported or replaced where applicable under this Services Schedule.
(b) Monitoring and management services are delivered remotely.
4.2. Fault management and support
(a) If a managed hardware item develops a fault during the Term, you may notify us by raising a support request with our helpdesk (hardware support request). On receiving a hardware support request, we will:
(i) acknowledge receipt and assign a priority based on the severity of the fault;
(ii) remotely diagnose the fault where possible, or arrange for the managed hardware to be assessed where remote diagnosis is not possible;
(iii) advise you whether the fault is covered by the hardware replacement guarantee (HWRG) (as defined below) under clause 7, accidental damage cover (ADC) under clause 8, or falls outside those arrangements; and
(iv) manage the repair, replacement or loan hardware process in accordance with clause 7 or clause 8, as applicable.
(b) Where a fault is covered by the HWRG, we will manage all aspects of the repair and replacement process, including courier logistics, loan hardware provision and manufacturer or repairer liaison. You must make the faulty managed hardware available for collection, ensure it is appropriately packed for transit, including being properly wrapped and secured, and ensure all data has been backed up, or migrated to cloud storage, including OneDrive or SharePoint, before the managed hardware is collected.
(c) Where a fault falls outside the HWRG and ADC – for example, because it is caused by misuse, liquid damage or an excluded event – we will provide you with a quote for the cost of assessment, repair or replacement before proceeding. We will not carry out any chargeable repair or replacement work without your prior approval.
(d) We will use reasonable endeavours to minimise the time a managed hardware item is unavailable to the relevant end user. We do not guarantee specific repair or replacement turnaround times, as these depend on manufacturer and courier availability.
(e) Fault management support is delivered from 8am-6pm on business days. Support requests lodged outside our business hours will be treated as received at 8:00am on the next business day.
5. Ownership, risk and security interest
5.1. Unless your Order expressly provides for transfer of ownership, all managed hardware supplied under this Services Schedule remains our property at all times during the term of the relevant Agreement. At the end of the term of the relevant Agreement, you must return all managed hardware in accordance with clause 10 of this Services Schedule.
5.2. You must not, and must not purport to, sell, assign, charge, mortgage, sublet or otherwise encumber or dispose of any managed hardware.
5.3. You must not allow any security interest (as defined in the Personal Property Securities Act 2009 (Cth)) to be registered or otherwise arise over any managed hardware.
5.4. We may register a financing statement on the Personal Property Securities Register in respect of managed hardware. You consent to that registration and agree to provide any assistance reasonably required to perfect our security interest.
5.5. You must promptly notify us if any managed hardware becomes subject to any third-party claim, legal process or insolvency event. You must cooperate with us to protect our interest in the managed hardware in those circumstances.
5.6. Subject to clause 8, you bear the risk of loss, theft or damage to managed hardware from the time of delivery until return or collection at the end of the relevant Agreement. You are responsible for insuring managed hardware against that risk during that period.
6. Payment
6.1. You must pay the fees as set out in your Order in exchange for the right to use the managed hardware and for our provision of managed hardware services.
6.2. Payment for the right to use the managed hardware and for our provision of managed hardware services must be made either directly to us or through our nominated finance provider (finance provider), as set out in your Order. Where a finance provider is used:
(a) you will pay the monthly fee to the finance provider;
(b) the finance provider will remit the fees to us; and
(c) the arrangement between you and the finance provider is separate from this Agreement, and you remain bound by our Agreement, including this Services Schedule and our Terms of Service, regardless of any dispute you may have with the finance provider.
6.3. Pricing during any renewal term reflects the ongoing cost of services, support and the risk we bear in maintaining and replacing ageing hardware under the HWRG. The price does not reduce at the end of the initial term of the relevant Agreement. At the end of the initial term, any managed services component that has been supplied at a fixed rate during the initial term may be repriced to our then-current rates for that plan or service, as set out in the renewal Order or otherwise notified to you.
6.4. The fees do not include the cost of accidental damage, loss or theft unless ADC has been included in your Order. If ADC is included, clause 8 of this Services Schedule applies.
7. Warranty and repairs
7.1. Hardware replacement guarantee
(a) All managed hardware supplied under this Services Schedule, with the exception of printers, is covered by our Hardware Replacement Guarantee (HWRG) for the duration of the initial term of the relevant Agreement, subject to the conditions in this clause 7.
(b) The HWRG applies to hardware faults – that is, failures caused by a defect in the managed hardware itself and not by accidental damage, misuse or external causes. The HWRG does not cover accidental damage. Accidental damage is addressed separately under clause 8.
(c) Where a fault is covered by the HWRG, we will:
(i) diagnose the fault remotely or, where necessary, arrange for the managed hardware to be collected from you;
(ii) provide loan hardware of similar specification while the faulty managed hardware is being repaired or replaced;
(iii) arrange courier pickup of the faulty managed hardware and delivery of the loan hardware to you; and
(iv) once repaired or replaced, return the managed hardware to you by courier, or, where we determine (acting reasonably) that the managed hardware is not economic or practical to repair or return, direct you to dispose of the managed hardware in accordance with our reasonable instructions.
(d) The HWRG is managed during business hours. Loan and replacement processes, including courier pickup and delivery, are coordinated during business hours only.
(e) The HWRG does not include on-site attendance at your premises, unless otherwise agreed by you and us. Where you request on-site attendance in connection with a hardware fault or replacement, we may agree to attend, but we reserve the right to charge for on-site attendance at our standard rates. We will advise you of any applicable charge before attending.
(f) The HWRG is subject to the following conditions:
(i) the Agreement must be in effect and in good standing at the time of the claim;
(ii) loss or theft of the managed hardware is not covered;
(iii) there must be no outstanding overdue invoices on your account;
(iv) there must be no breach or suspected breach of the relevant Agreement by you; and
(v) the fault must not be caused by accidental damage, misuse, unauthorised modification, liquid damage, or any other excluded cause.
(g) You must ensure that hardware is suitable for your needs before executing the relevant Order. We make no guarantee that any managed hardware will meet your expectations beyond what is expressly specified in the Order.
7.2. Out-of-warranty and excluded faults
(a) Faults that fall outside the HWRG – including damage caused by misuse, accident, liquid damage or other excluded causes – will be assessed and quoted separately. We will obtain your approval before proceeding with any repair or replacement that is not covered by the HWRG or Accidental Damage Cover.
(b) Where managed hardware is assessed as beyond economic repair and is not covered by the HWRG or Accidental Damage Cover, we will notify you and discuss replacement options. Replacement in those circumstances is subject to additional fees.
(c) Where we determine, acting reasonably, that managed hardware is not economic or practical to repair, replace or return, we may direct you to dispose of the managed hardware in accordance with our reasonable instructions.
8. Accidental damage cover
8.1. If your Order includes ADC, we will cover the cost of repairing or replacing eligible managed hardware that is accidentally damaged during the initial term of the relevant Agreement, up to the claim limit set out in this clause 8 and subject to the conditions below.
8.2. ADC covers accidental physical damage to eligible managed hardware arising from a single, unexpected incident – for example, a cracked screen or liquid spill (accidental damage). ADC does not cover:
(a) theft or loss of any kind;
(b) damage caused by flooding, earthquake, storm, fire or other natural disaster or catastrophic event;
(c) cosmetic damage that does not affect the functionality of the managed hardware;
(d) damage caused by misuse, abuse, neglect or intentional acts;
(e) damage caused by software, virus or malware;
(f) damage arising from modifications not approved by us;
(g) damage to accessories, peripheral hardware, docking stations or consumables, unless expressly listed as covered in your Order; or
(h) any subsequent incident on the same managed hardware after the claim limit has been reached, in which case you must claim under your own insurance or pay the cost of repairing or replacing the managed hardware.
8.3. ADC is limited to the number of accidental damage incidents set out in your Order.
8.4. To make an ADC claim, you must:
(a) notify us as soon as reasonably practicable after the damage occurs;
(b) provide a description of how the damage occurred;
(c) provide us with a photo of the damaged managed hardware; and
(d) make the managed hardware available for assessment by us or our authorised repairer.
8.5. We reserve the right to assess the damage before approving a claim. Where we determine (acting reasonably) that the damage is not covered by ADC (for example, because it falls within an exclusion), we will notify you and, where applicable, provide a repair or replacement quote for your approval.
8.6. ADC is a contractual arrangement between you and us. We are not an insurer and nothing in this clause 8 constitutes an insurance policy. You remain responsible for insuring managed hardware against all risks not covered by ADC, including theft, loss and catastrophic events, unless you have made separate arrangements with us.
9. Your care and use obligations
9.1. You must:
(a) use managed hardware only for your business purposes;
(b) use managed hardware in accordance with the manufacturer’s guidelines and our reasonable instructions;
(c) not attempt to modify, repair, open or tamper with managed hardware without our prior written consent;
(d) use managed hardware in appropriate environmental conditions, including suitable temperature, humidity and power supply; and
(e) use managed hardware in a way that does not expose the hardware to unnecessary risk of damage, loss or theft.
9.2. You are responsible for ensuring that your end users comply with these obligations. You are responsible for any breach of these obligations by your end users.
10. Return of hardware
10.1. On expiry or termination of the Agreement, you must, at your cost, return all managed hardware to us in accordance with our return instructions (return), unless:
(a) otherwise specified in the relevant Order; or
(b) you upgrade or replace the managed hardware by entering into a new Agreement with us for new ordered hardware, in which case we will collect, or arrange for the collection of, the old managed hardware as part of that transition.
10.2. Managed hardware must be returned:
(a) in the same condition as delivered, subject to fair wear and tear;
(b) with all original accessories and cables where these were supplied;
(c) properly packaged and protected so that it is not damaged in transit; and
(d) within 7 days after the end of the Agreement.
10.3. Before returning any managed hardware, you must:
(a) ensure all business data has been backed up and migrated off the managed hardware;
(b) remove or de-register all personal or business accounts from the managed hardware; and
(c) perform a factory reset or confirm to us in writing that you have securely wiped all data.
10.4. If managed hardware is returned in a condition that does not meet clause 10.2 (for example, damaged beyond fair wear and tear), we will charge you the full replacement value of the item or the cost of remediation, whichever we consider appropriate (acting reasonably) in the circumstances.
10.5. All hardware returned to us will be securely wiped of all data. We are not responsible for the use of returned hardware after it has left our possession.
10.6. If managed hardware is lost or stolen, you must notify us as soon as practicable. You must pay us the full replacement value of the lost or stolen item.
11. Access and administration
11.1. We hold administrative credentials for managed hardware. You and your end users will not be provided with administrative credentials that would allow you or your end users to modify or circumvent our configuration, policies or settings.
12. Your responsibilities
12.1. Our ability to supply and manage hardware effectively depends on your cooperation and on your environment meeting our reasonable requirements. If you do not meet those requirements, or do not provide timely access, information or assistance:
(a) supply or management of hardware may be delayed or limited;
(b) we may not be able to meet service levels or commitments; and
(c) additional costs may be incurred, which will be charged to you.
12.2. You are responsible for:
(a) maintaining a suitable environment for hardware operation, including appropriate power, temperature and physical security;
(b) notifying us promptly of any fault, damage, loss or theft of managed hardware;
(c) ensuring your end users are aware of and comply with their obligations under the relevant Agreement;
(d) providing timely access, information and cooperation as reasonably required by us; and
(e) insuring all managed hardware against loss, theft and damage for its full replacement value, unless ADC has been included under clause 8. ADC does not replace insurance, and it covers accidental damage only.
12.3. You must ensure that managed hardware is not used in a way that contravenes applicable law, our reasonable policies, or the term of the relevant Agreements of any software licence applicable to software installed on that hardware.
13. End of life and disposal
13.1. When managed hardware is approaching end of manufacturer support or end of our supported refresh cycle (end of life), we will work with you to plan for refresh or replacement before that date to avoid disruption.
13.2. We do not charge for disposal of hardware returned to us on refresh or at the end of the term of the relevant Agreement, provided the hardware is returned in accordance with clause 10.
13.3. All returned hardware is disposed of or refurbished by us in accordance with applicable environmental and data security requirements.
13.4. You must not independently dispose of any managed hardware without our prior written consent. If you do, you remain liable for any data security consequences and for the full replacement value of the disposed item.
14. Offboarding
14.1. Reasonable assistance
On termination or expiry of the Agreement, we will provide reasonable transition assistance to facilitate the orderly return of hardware and transfer of any related services, subject to payment of all outstanding amounts and your reasonable cooperation.
14.2. Offboarding fees
Offboarding activities beyond the standard return process are treated as project work and will be separately scoped and charged.
14.3. Timing and process
(a) All hardware must be returned within 7 days after the end of the Agreement. All other offboarding related tasks must be completed during the final month of the Agreement, subject to payment of all outstanding fees. Where an Agreement ends without sufficient prior notice to complete such tasks during the final month, they must be completed as soon as reasonably practicable after termination or expiry, subject to payment of all outstanding fees.
(b) If offboarding is not completed within the period set out in clause 14.3(a) for any reason, including because hardware has not been returned, required information or cooperation has not been provided or payment has not been made, we will continue to bill you for further one-month periods at the same rate that applied during the last month of the relevant Agreement before its termination or expiry until offboarding is completed. We may also, on 30 days’ prior written notice to you, suspend the desktop management plan services associated with that managed hardware, including access to email and other services managed under the desktop management plan, and charge you for the managed hardware at its then-current market rate. If we charge you for the managed hardware at its then-current market rate, you must pay our invoice within 7 days after the invoice date.
(c) We will provide credentials to remove our device management controls upon settlement of all outstanding amounts.
