Important Things to Know (please read)

We want this Voice Services Schedule to work for both of us. If there is something you would like to change before placing an Order, we are happy to consider reasonable amendments, just let us know.

This Voice Services Schedule forms part of your Agreement with Boab IT Pty Ltd and must be read together with our Terms of Service and your Order. This Services Schedule applies only where your Order expressly includes voice services or LegalVoice. 

Voice services rely on your internet connection. If your internet connection is unavailable, voice services will not function. You must maintain an alternative means of contacting emergency services (such as a mobile phone) at all times.

Voice services are only available to businesses with a valid Australian Business Number.

Number porting is not guaranteed. We will use reasonable endeavours to port your existing numbers, but we cannot warrant that porting will be successful in all cases.

The scope of each engagement is defined by your Order. We are only obliged to deliver what is expressly described in the applicable Order. If a service or deliverable is not listed there, it is not included.

 

1. About this Service Schedule

1.1 This Voice Services Schedule (Services Schedule) sets out the terms on which we supply voice services to you. It applies where an Order expressly incorporates voice services or LegalVoice.

1.2 This Services Schedule forms part of an Agreement and must be read together with the Terms of Service and the applicable Order.

1.3 If there is any inconsistency between this Services Schedule, the Order and the Terms of Service, the Terms of Service prevail, then the Order, then this Services Schedule, to the extent of the inconsistency.

1.4 In this Services Schedule, some words are defined in bold. Definitions in the Terms of Service also apply to this Services Schedule.

1.5 Our voice services may only be acquired by businesses with a valid Australian Business Number (ABN).

2. About voice services

2.1 Our voice services give you the exclusive right to use any phone number identified in the relevant Order or otherwise confirmed by us in writing that is allocated to you (number) to make and receive telephone calls (voice services) during the term of the relevant Agreement.

2.2 The availability of voice services is subject to, among other things, geographic availability, the quality and availability of your underlying internet connection, and any maintenance or downtime of our third-party providers.

2.3 All voice services require an active, functioning internet connection. If your internet connection is unavailable or degraded, voice services may not function or may function with reduced quality. The number of simultaneous calls you can make or receive is limited by the call capacity configured for your service, including channel or trunk limits per extension, and may also be affected by bandwidth on your internet connection.

2.4 You must take all necessary steps to ensure that the equipment connected to the voice services, including your computer network, is secured from unauthorised access, including by using firewalls, and that voicemail and other systems are secured by passcodes that are regularly changed.

2.5 You acknowledge that voice services are not a secure, private or confidential method of communication.

2.6 Voice services must not be used to operate an outbound call centre or to make calls using a predictive dialler or similar automated dialling system. You must not use, or permit any voice services to be used, to make threatening, unwelcome, hoax or harassing telephone calls. You must hold all necessary rights to broadcast any audio applied to a voice service, for example, music on hold, and you license us and our suppliers to broadcast that audio on your behalf. If you enable call recording, you are responsible for giving any notices and obtaining any consents required by applicable law before recording any call.

3. New numbers

3.1 If an Order specifies that you require new numbers, we will use our best endeavours to provide those numbers by the date specified in the relevant Order (available date).

3.2 One or more of our third-party providers may seek to deliver any services necessary for us to provide the voice services using carrier rights or immunities under Schedule 3 of the Telecommunications Act 1997 (Cth). Any nominated provisioning timeframes may be based on there being no objections by any building owner or occupier in respect of those services. Any such objection may delay provisioning of the voice services. Where an objection is sustained and a third-party provider cancels provisioning as a result, we may be unable to deliver the voice services and reserve the right to terminate the relevant Agreement without liability to you.

4. Number porting

4.1 If an Order specifies that you wish to transfer any of your existing numbers held with another telecommunications supplier (original telecommunications supplier) to us, we will use reasonable endeavours to port those numbers to us (porting). However, we do not warrant or guarantee the feasibility or success of any porting.

4.2 Porting may be unsuccessful for a number of reasons, including because:

(a) we do not have a pre-established porting arrangement with your existing carrier;

(b) the number is being used in connection with complex services by the existing carrier;

(c) the number is part of a block of numbers and you have not requested us to port all numbers in that block; or

(d) the number being ported is no longer active on the existing carrier’s network.

4.3 We and our suppliers will not be liable to you if porting fails for any of those reasons or for any other reason outside of our reasonable control.

4.4 The timeframe for porting is determined by your existing carrier and is outside our control.

4.5 You warrant that you are authorised to port the relevant numbers to us and you authorise us and our suppliers to undertake the porting process on your behalf.

4.6 You are responsible for checking that porting has been completed for all numbers you have requested us to port. If you become aware that any number has not been ported, you must notify us promptly and provide all information reasonably required for us or our suppliers to investigate or resubmit the porting request.

4.7 You are responsible for unbundling any services associated with the numbers to be ported from your original telecommunications supplier. You acknowledge that porting may not be possible unless those services have been unbundled, and that you may lose one or more numbers if unbundling is not completed properly or in time. You must confirm in writing that all required unbundling has been completed before we or our suppliers are required to submit any porting request.

5. Number obligations

In respect of any numbers we provide to you or port in for you:

(a) you must comply with any security policies,fair use limits and policies specified in your Order or our publishedfair use policy, and other reasonable procedures and policies we or any third party notify you of from time to time. If you breach any such policy, we may, at our sole discretion, suspend, limit or terminate the voice services;

(b) before we or our suppliers connect a number to the voice services, you must provide us with any specific details or requirements relating to that number or your end users that you need us to apply, and that we have the functionality to accommodate, including any requirements relating to disability assistance, call blocking or identification restrictions;

(c) numbers are allocated by the Australian Communications and Media Authority (ACMA) and are subject to availability on the Integrated Public Number Database (IPND). You must provide us with any information we or our suppliers are required to supply to the IPND or ACMA promptly upon our request;

(d) you warrant that the service delivery address nominated in the relevant Order is your primary service address for regulatory, numbering and emergency services purposes; you acknowledge that VoIP services may be accessed from other locations over the internet, but you must not misrepresent the service location to us, ACMA or emergency services providers;

(e) we reserve the right to alter or replace any number in order to comply with Australian regulations;

(f) we or our suppliers will disclose your name and address details to the IPND and that information may be used for directory services, unless you nominate the number to be unlisted;

(g) you and your end users have no right, title or interest in any number allocated to you as part of the voice services, other than the temporary right to use that number in connection with the voice services during the term of the relevant Agreement;

(h) we or our suppliers will comply with the National Numbering Plan (NNP) and reserve the right to alter or replace any number as required by the NNP or any direction from ACMA. We will use reasonable endeavours to give you at least 7 days’ prior written notice of any numbering change that will affect the voice services. Where 7 days’ notice is not practicable, we will provide as much notice as the circumstances allow; and

6. Emergency services (000)

6.1 We will provide you and your end users with access to emergency 000 services free of charge via the voice services. However, we have no liability whatsoever if you or your end users are unable to access emergency 000 services at any time.

6.2 You must ensure that you and all end users understand that voice services may not be available during a power outage, when your internet connection is interrupted, or if the hardware or software used to access the voice services is faulty, disconnected or unavailable. You must ensure that you and all end users have an alternative means of contacting emergency services at all times.

6.3 You must ensure that all end users are provided with the following notice before using the voice services:

WHEN YOU DIAL ‘000’ FROM THE VOICE SERVICES, YOU WILL BE CONNECTED TO EMERGENCY SERVICES. IT IS IMPERATIVE THAT YOU UNDERSTAND THAT THE VOICE SERVICES CANNOT BE UTILISED IF THERE IS A POWER OUTAGE, WHEN YOUR INTERNET CONNECTION IS INTERRUPTED, OR IF THE HARDWARE OR SOFTWARE YOU ARE USING TO ACCESS THE VOICE SERVICES IS FLAWED, DISCONNECTED, FAULTY OR UNAVAILABLE. YOU MUST HAVE AN ALTERNATIVE TELECOMMUNICATIONS SERVICE SUCH AS A MOBILE, FIXED LINE OR SATELLITE TELEPHONE TO CONTACT EMERGENCY SERVICES IN THE EVENT THAT THE VOICE SERVICES ARE UNAVAILABLE OR INOPERABLE AT ANY TIME.

7. LegalVoice

7.1 LegalVoice is our cloud-based business phone system through which we deliver our voice services, including voice calling and related communication features. All calls are routed as data packets over your internet connection and managed through our off-site infrastructure. LegalVoice is only available to you if it is expressly specified in your Order.

7.2 LegalVoice includes a phone extension for each end user specified in the Order, covering calls to mobile, local, national and 1300 numbers on afair use basis. International calls and calls to 13 numbers are not included in the standard extension and are charged separately as set out in the Order. We reserve the right to on-charge international and 13 number call costs to you.

8. Softphone licence

8.1 A softphone licence is available as an optional add-on to LegalVoice. A softphone licence permits you to install and use the LegalVoice softphone application.

8.2 The softphone licence is granted for the term of the relevant Agreement. Upon expiry or termination of the Agreement, the licence automatically terminates and you must cease using the softphone application on all devices.

9. Voicemail to email

9.1 Voicemail to email is available as an optional add-on to LegalVoice. Where enabled, the service will use best endeavours to deliver voicemail messages to your nominated email address as audio file attachments.

9.2 You acknowledge that voicemail to email delivery depends on the correct configuration of your email environment and on third-party mail infrastructure outside our control. We are not liable for any failure to deliver a voicemail notification by email, whether caused by email filtering, delivery failure, incorrect configuration or any other reason.

10. Handsets

10.1 We support a specific range of compatible handsets for use with LegalVoice, as specified in the Order or notified to you from time to time. We do not support handsets outside that range.

10.2 If you procure a compatible handset independently (including second-hand), it must be unlocked from the manufacturer’s management portal before it can be used with LegalVoice. We are not responsible for any issues arising from the use of handsets not procured through us, including unlocking failures, compatibility issues or degraded performance caused by the age or condition of the device.

10.3 We will use best endeavours to support compatible handsets throughout the term of the relevant Agreement. However, as handset models age or manufacturer firmware changes, we cannot guarantee that all features will remain available or function as originally described.

11. Headsets

11.1 Headset compatibility with LegalVoice is provided on a best-efforts basis. Not all features described by the headset manufacturer may be available or functional when used in conjunction with LegalVoice. We are not liable for any features that are unavailable or do not perform as described on the headset packaging or in manufacturer documentation. Where the LegalVoice application is updated or redeveloped, headset features may change and we are not obliged to restore previous functionality.

11.2 We will advise you of compatible models upon request.

12. Your obligations

You must:

(a) use the numbers we supply to you solely for the purposes of terminating and originating calls over the voice services;

(b) not modify or relocate the voice services, or permit any end user or other person to do so, without our prior written approval;

(c) if you replace any services provided by an original telecommunications supplier with services that rely in whole or in part on the voice services, remain liable for all amounts owing to the original telecommunications supplier arising from that transition or from any termination of your agreement with them;

(d) pay all fees in respect of the voice services in accordance with the payment terms, and pay any other fees or charges incurred by you, your end users or any third party authorised by them in connection with the voice services (extra charges). Where extra charges are owed to our third party providers, they will be collected from you via our invoice and remitted to those providers;

(e) pay for all calls made through the voice services, whether or not you have authorised those calls or whether your equipment or systems have been accessed without your consent;

(f) ensure that all end users are provided with the emergency services notice set out in clause 6.3 above before using the voice services; and

(g) use the voice services, and ensure that your end users use the services, in accordance with all applicable laws, regulations, industry codes and regulatory directions, including laws relating to spam, unsolicited communications, telemarketing, privacy, call recording, numbering, emergency services and telecommunications services.

13. Charges and payment

13.1 We may monitor your usage of the services described in this Service Schedule against any plan selected in the applicable Order (service plan).

13.2 Your monthly call usage is determined in accordance with the rates specified in the relevant Order (monthly usage fee). Monthly usage fees may be subject to change as determined by us from time to time.

13.3 If your usage of any services described in this Services Schedule exceeds the limits set out in the relevant call or other plan, you must pay the excess usage charges set out in the call plan or Order (as applicable). If we determine that your usage is excessive, unreasonable or interferes with our provision of services to other clients, we reserve the right to suspend or limit your voice services. Suspension or limitation for excessive usage does not entitle you to terminate the Agreement or avoid minimum term charges.

13.4 You must pay all fees in accordance with the payment terms, regardless of whether you use all or any plan inclusions and whether or not you port, cancel or transfer any number or service to a third party. Unused inclusions do not roll over to the next calendar month except where your Order expressly provides for rollover.

13.5 Monthly recurring charges are payable in advance, with the first month’s charges pro-rated based on the service activation date. Usage charges are billed monthly in arrears.

13.6 We will use our best endeavours to include all applicable fees in each invoice. If any fees are omitted from an invoice for any reason, we will include them in the next invoice, clearly itemised. Such an omission does not affect the validity of those charges.

14. Target go live date and billing commencement

14.1 The target go live date is the date the voice services have been provisioned by us.

14.2 If the go live date is delayed because you fail to provide information, approvals, access, configuration details or other cooperation reasonably required by us, we may commence invoicing from the date the voice services would reasonably have been provisioned but for that delay.

14.3 We will commence invoicing for the voice services from the go live date, whether or not you have completed any staff training, handset deployment or other internal activities required to begin using the voice services, provided the voice services have been provisioned by us.
